Sale Agreement

This Deed of Agreement to Sell is executed at New Delhi on the ____ day of June, 2006 between ___________________ S/o________________ R/o ________________ (hereinafter called the "FIRST PARTY") of the ONE PART and __________________ S/o r/o ,(hereinafter called the "SECOND PARTY") of the OTHER PART. The expressions "FIRST PARTY" and "SECOND PARTY" shall mean include their respective heirs, successors, representatives, assigns and nominees.

WHEREAS the FIRST PARTY is the owner and is in possession of Flat No. _______ (front portion) measuring ________ sq.ft. situated at ___________________________ and has agreed to sell same to the SECOND PARTY at the cost of Rs.__________ (Rupees _______only) on the following terms and conditions :-

1. That the SECOND PARTY has paid to the FIRST PARTY full and final consideration of Rs._________ (Rupees ____________________________ only) as per the following details :

PAYORDER/CHEQUE DATED DRAWN ON AMOUNT IN RS.

The receipt of the above mentioned payments have been acknowledged by the FIRST PARTY.

2. That the SECOND PARTY is empowered to get the said flat transferred in its name or in the name of its nominee(s) and take/receive the consideration for the same.

3. That the FIRST PARTY undertakes that the property which is being transferred under this agreement is free from all the encumbrances, sale, mortgage etc. and that the FIRST PARTY has not taken any earnest money from any other party for the sale of this plot.

4. That the FIRST PARTY shall not have any right, interest or lien in the said property and the SECOND PARTY shall be its sole owner henceforth.

5. That if the SECOND PARTY desires to sell the said flat to some other party, the FIRST PARTY, shall, if legally required, execute, sign and deliver all documents which might be required for the smooth transfer of the said property in favour of the THIRD PARTY.
